
IREN (IREN), a company in the bitcoin mining sector, has successfully completed a refinancing strategy that amalgamates a $2.3 billion convertible senior-note issuance with a $544.3 million repurchase of existing convertible notes.
The new issuance consists of $1 billion worth of 0.25% notes due in 2032, another $1 billion of 1% notes maturing in 2033, and a fully exercised $300 million greenshoe option to accommodate excess demand.
In addition, IREN enacted capped-call transactions designed to protect against share dilution in the event of note conversions, offering protection up to an initial share price of $82.24. The notes are devoid of any investor put rights, aside from a standard provision that pertains to fundamental changes, as mentioned in the announcement.
The repurchase included $316 million of 3.50% notes set to mature in 2029 with a conversion price of $13.64, and $227.7 million of 3.25% notes due in 2030 with a conversion price of $16.81. This repurchase was financed via a registered direct placement of approximately 39.7 million ordinary shares.
Taken together, the transactions produced about $2.27 billion in net proceeds, lessening IREN’s average annual cash coupon obligations and extending the maturity schedule of its convertible debt.
After covering the costs associated with the capped calls and the repurchase transaction, IREN intends to allocate the remaining proceeds for general corporate needs and working capital, further supporting the ongoing growth of its bitcoin mining and data center operations.
In pre-market trading, IREN saw a 1% decline to $45 per share, approximately 40% lower than its all-time high recorded in November.
